1. REQUEST FOR ACCESS

The undersigned (the “Visitor” or “I”) hereby requests that Prohub Listings, a Florida limited liability company doing business as “Pros and Tools” (“PAT”), allow him or her access to any of the physical locations shown on www.prosandtools.com (the “Premises”).

2. RELEASE AND WAIVER OF LIABILITY

In consideration of PAT allowing the Visitor access to the Premises, the Visitor hereby KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES, RELEASES, AND FOREVER DISCHARGES, for himself or herself and his or her heirs, successors, representatives, and assigns, any and all claims, demands, causes of action, liabilities, or damages of any kind, under any legal theory, against PAT and its owners, managers, officers, agents, representatives, employees, affiliates, and volunteers (collectively, the “Releasees”), arising from or related to the Visitor’s presence at the Premises.

This release expressly includes, without limitation, any and all claims arising from the ACTIVE OR PASSIVE NEGLIGENCE OF THE RELEASEES.

En consideración de que PAT permita el acceso del Visitante a las Instalaciones, el Visitante RENUNCIA, LIBERA Y EXONERA DE MANERA CONSCIENTE, VOLUNTARIA E IRREVOCABLE, en su nombre y en nombre de sus herederos, sucesores, representantes y cesionarios, a cualquier reclamo, demanda, causa de acción, responsabilidad o daño de cualquier tipo, bajo cualquier teoría legal, contra PAT y sus propietarios, gerentes, oficiales, agentes, representantes, empleados, afiliados y voluntarios (colectivamente, los “Liberados”), que surjan de o estén relacionados con la presencia del Visitante en las Instalaciones.

3. EXPRESS ASSUMPTION OF RISK

The Visitor acknowledges that visiting the Premises involves significant and potentially life-threatening risks, including but not limited to:

• Dangerous tools, machinery, blades, saws, and heavy equipment

• Equipment failure or operator error and/or negligence

• Presence of other users who may lack experience, act carelessly, or act negligently

• Sawdust, airborne particles, respiratory hazards, eye hazards, and slip-and-fall risks

• Fatigue, delayed reaction time, loss of balance, and physical limitations

• Pre-existing medical conditions that may increase the risk of injury

• Negligent emergency response, rescue efforts, or delayed medical assistance

• The fact that PAT does not provide medical services or medical supervision

• Any and all risks inherent to construction, carpentry, fabrication, or industrial environments

• The Visitor VOLUNTARILY AND EXPRESSLY ASSUMES ALL SUCH RISKS.

4. CERTIFICATIONS

The Visitor certifies that he or she is at least 18 years of age, physically and mentally competent, agrees to follow all safety rules, and agrees NOT to use any machinery or equipment during the visit.

El Visitante certifica que tiene al menos 18 años de edad, que es física y mentalmente competente, acepta seguir todas las normas de seguridad y acepta NO utilizar ninguna maquinaria o equipo durante la visita.

The Visitor accepts full financial responsibility for any injury or damage and confirms adequate insurance coverage.

El Visitante acepta plena responsabilidad financiera por cualquier lesión o daño y confirma que cuenta con seguro adecuado.

5. INDEMNIFICATION

The Visitor agrees to defend, indemnify, and hold harmless the Releasees from any losses, damages, liabilities, claims, judgments, fines, penalties, costs, or attorneys’ fees arising out of or related to the Visitor’s presence at the Premises.

El Visitante acepta defender, indemnizar y mantener indemnes a los Liberados de cualquier pérdida, daño, responsabilidad, reclamo, sentencia, multa, penalidad, costo u honorarios legales que surjan de o estén relacionados con la presencia del Visitante en las Instalaciones.

6. NO RESPONSIBILITY FOR BUSINESS DEALINGS

PAT is not responsible for any dealings, agreements, disputes, or damages arising from interactions between the Visitor and any member or user of the Premises.

PAT no es responsable por ninguna relación, acuerdo, disputa o daño derivado de interacciones entre el Visitante y cualquier miembro o usuario de las Instalaciones.

7. INTELLECTUAL PROPERTY AND NON-COMPETE

The Visitor agrees not to copy, replicate, compete with, misuse, or disclose PAT’s confidential information, trademarks, trade secrets, business model, or intellectual property, and agrees not to solicit or hire PAT personnel.

El Visitante acepta no copiar, replicar, competir, divulgar ni hacer uso indebido de la información confidencial, marcas comerciales, secretos comerciales, modelo de negocio o propiedad intelectual de PAT, y acepta no contratar ni inducir a empleados o agentes de PAT.

8. GOVERNING LAW AND VENUE

8. LEY APLICABLE Y JURISDICCIÓN

This Agreement shall be governed by the laws of the State of Florida. Exclusive jurisdiction shall be in the state or federal courts located in Miami-Dade County, Florida.

Este Acuerdo se regirá por las leyes del Estado de Florida. La jurisdicción exclusiva será en los tribunales estatales o federales ubicados en Miami-Dade County, Florida.

9. SEVERABILITY

If any provision is held invalid, the remainder shall remain in full force and effect.

10. ENTIRE AGREEMENT

This document constitutes the entire agreement between PAT and the Visitor.

11. CONTINUING EFFECT

This waiver applies to all future visits unless revoked in writing.

12. CONTROLLING LANGUAGE

This Agreement is provided in English and Spanish. In the event of any inconsistency, THE ENGLISH VERSION SHALL CONTROL.

Este Acuerdo se proporciona en inglés y español. En caso de inconsistencia, PREVALECERÁ LA VERSIÓN EN INGLÉS.

BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ AND FULLY UNDERSTAND THIS DOCUMENT AND THAT I AM VOLUNTARILY WAIVING SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.

AL FIRMAR A CONTINUACIÓN, RECONOZCO QUE HE LEÍDO Y ENTIIENDO COMPLETAMENTE ESTE DOCUMENTO Y QUE ESTOY RENUNCIANDO VOLUNTARIAMENTE A DERECHOS LEGALES SUSTANCIALES, INCLUYENDO EL DERECHO A DEMANDAR.
